ARTICLE I: Name
The name of this organization shall be the Ford Ohio Kentucky Indiana Super Duty club, hereinafter known as FOKISD.
ARTICLE II: Purpose
The purpose of FOKISD shall be to; To enjoy ourselves amongst other Ford "Truckies". To provide mechanical assistance and knowledge to other club members. To keep our members' rigs running better than new. To provide opportunities for FOKISD members to showcase their rigs.
ARTICLE III: Communication
A. The primary form of communication is posting in the FOKISD Members Forum Announcements area and/or email at the members registered email address. Additionally, posts may be made in the Events and Rallies section of TheDieselstop.com, TheDieselGarage.com, and/or any other regularly used forum as may exist from time to time on various available websites.
b. The FOKISD website shall remain the property of the club as an entire entity.
ARTICLE IV: Membership
SECTION 1: Membership
a). Any reputable person owning or in the process of buying a Ford F250 -550 may become a member by supplying the appropriate information (filling in the member application form on the FOKISD web site) and Paying the initial Membership fee of $20 ($15 annually thereafter), validating that membership with active attendance to meetings and events (when possible), and receiving a FOKISD Member sticker from the Club. The member's immediate families are considered to be associate member(s) unless they have completed an individual membership application and have paid the annual membership dues.
SECTION 2: Dues
A. Dues for being a Fokisd Club Member shall be as follows;
1. Dues are $15.00 per registered member per year.
2. New Members $20.00 for the first year. This includes $5.00 for the first club window sticker and $15.00 for first year’s membership dues.
B. Dues will be collected at the beginning of each calendar year at the January club meeting or they can be mailed in December each year to the Secretary for recording and then passed to the Treasurer for deposit in the club account.
C. Dues will be used to fund event awards and web site expenses.
1. Members may present to the Club receipts for expenses they incur in support of the club as directed by the Club President.
2. Webmaster may submit a monthly or quarterly bill for the website fees as incurred.
SECTION 3: Voting
a. All members listed on the Club roster who are in good standing and are in attendance at a properly announced meeting shall have voting privileges to cast their vote on any issue brought forth at said meeting. Officer elections will be supplemented by on-line voting to speed up election vote counting, and to allow those unable to attend the Annual Election meeting to vote.
1. On line votes will be verified and tallied by the Secretary/Treasurer, Vice President, and Officer at Large at the election meeting prior to the meeting attendees votes so the result can be announced prior to closing the meeting.
2. Online voting will be conducted via email simultaneously sent to all four Club Officers by the voting member. Online voting will open 30 days prior to the election and will close 24 hours prior to the Annual Election meeting to allow all emails to arrive.
(a). Those members whose emailed vote arrives after the cutoff and were not transmitted prior to the close of online voting will be allowed to vote at the meeting if in attendance. Members will not be allowed to withdraw their online vote.
3. The Club Secretary will verify membership and standing of members prior to tallying online ballots and before issuing ballots for any vote held at a scheduled meeting.
(A).The results of the voting, as announced at the meeting and recorded by the Secretary, will stand and no challenges will be recognized unless presented the meeting.
(B).The meeting will not be closed until the election results are verified and all challenges satisfied.
ARTICLE VI: Meetings of the Members
SECTION 1: Regular Meetings
Regular Meetings will be held. These meetings will be properly announced and the time and place will be included in such announcement.
SECTION 2: Events
Events such as planned social gatherings, and technical presentations shall be held as the opportunity arises. Events may be held in conjunction with, or in place of, a regular meeting.
SECTION 3: Special Meetings
Special Meetings can be called by the President, Officers or by a petition signed by 20 voting members.
SECTION 4: Notice of Meetings
Printed notice of each meeting shall be given to each member by email to the email address provided by the member, not less than 2 weeks prior to the meeting.
SECTION 5: Quorum
The members present at a properly announced meeting shall constitute a quorum.
SECTION 6: Voting
All issues to be voted on, with the exception of the bylaws, shall be decided by a simple majority of the voting members and on line submissions at the meeting in which the vote takes place.
ARTICLE VI: Officers
SECTION 1: Members
The Officers shall be made up of members of FOKISD who have attended at least 50% of the properly announced meetings in the prior calendar year.
SECTION 2: Authority
a. The Officers shall have full power to conduct the business of FOKISD between meetings provided such business is not contrary to the bylaws of FOKISD.
b. The Officers shall define and interpret these bylaws and its rulings shall be official unless overturned by the voting members assembled at a meeting by a two-thirds vote.
SECTION 3: Officers Meetings
a. The Officers shall meet at the call of the President or any two (2) other Officers.
b. A quorum for any meeting of the Officers shall be three (3) Officers members.
c. The Officers may conduct business by Forum Discussion, mail, email or telephone when necessary.
d. Official decisions made by the Officers that affect the general membership shall be announced at the next properly announced meeting.
ARTICLE VII: Officers
SECTION 1: The Officers of FOKISD shall be:
a. President.
b. Vice-President
c. Secretary / Treasurer
d. Officer-at-Large
e. Past President
f. Founding Member
SECTION 2: Duties of Officers
a. The President shall:
1. Be the chief executive officer of FOKISD
2. Maintain FOKISD club image as a spokesman for the club, and run club meetings.
b. The Vice-President shall:
1. Assume the duties of the President in the absence or disability of the President.
2. Assist in the planning and execution of meetings and activities.
c. The Secretary / Treasurer shall:
1. Keep a written log of all meetings held by the membership and/or Officers. Be custodian of all funds, property, records and other FOKISD owned assets.
2. Keep records of all monies received & disbursed.
3. Provide a statement of accounts, at each properly announced meeting and to the Officers upon demand.
4. Pay all bills for routine supplies and all special purchases that have been approved by the Officers.
e. The Officer-at-Large shall:
1. Perform functions assigned by the President.
f. Past President (from prior term of current)
1. Perform advisory functions assisting where needed.
g. Founding Member(s)
1. Perform advisory functions assisting where needed.
SECTION 3: Eligibility of Officers
a. All officers shall be FOKISD members in good standing who have attended at least 50% of properly announced meetings held during the calendar year immediately prior to their election to office.
SECTION 4: Election Procedures:
a. Candidates can be nominated by any voting member sending a private message to that candidate and the President. Upon acceptance of the nomination by the candidate the candidate will notify the President. All nominations must be accepted and posted 30 days prior to the election meeting.
b. Elections to be held at the first Regular meeting of the calendar year. ON LINE Voting will be held two weeks prior to the general election and all votes counted at the election meeting.
c. In the event there are no nominations or announced candidates for an office, nominations will be accepted at the above said meeting.
d. The office of Past President shall be held by a FOKISD member who has previously served in the elected capacity of President. This office shall not be voted upon by the membership and is an advisory position. A member holding this office may only be removed if the member is no longer eligible for FOKISD membership.
e. The office of Founding Member may only be held by Founding FOKISD members who were in attendance at the first FOKISD meeting. This office shall not be voted upon by the membership and is an advisory position. A member holding this office may only be removed if the member is no longer eligible for FOKISD membership.
SECTION 5: Terms of Office
All elected officers shall serve a one-year term beginning in January. All non-elected officers shall retain their positions indefinitely, contingent only upon maintaining membership eligibility status.
SECTION 6: Removal from Office
a. Any officer may be removed from office:
1.) If the officer fails to perform the duties of the office;
2.) If the officer is no longer eligible for FOKISD membership; or
3.) For any reason that brings discredit to FOKISD.
b. Removal from office shall be by majority vote at the next regular or special meeting.
SECTION 7: Vacancies in Office
a. Any vacancies in office except that of President shall be filled within thirty days by the President with the approval of the Officers.
b. A vacancy in the office of President shall be filled by the Vice President, or if the Vice President is not capable of fulfilling the Presidents duties, by a member of the Officers to be selected by the remaining members of the Officers until such time as a special election can be arranged.
SECTION 8: Records and Property
Records and property held by officers. During the last thirty days of their term, all outgoing officers and committee chairs shall deliver to their successors in office all of the records and property of FOKISD in their possession.
SECTION 9: Standing Committees
Officers shall establish standing or temporary committees to assist in the activities of the club.
ARTICLE VIII: Parliamentary Authority
The rules contained in GOOD COMMON SENSE shall govern the proceeding of FOKISD in all cases to which they are applicable and in which they are not inconsistent with these bylaws.
ARTICLE IX: Amendments
These bylaws may be amended as follows:
At any Meeting held, by a two-thirds vote provided proper announcement was given.
